TERMS OF SERVICE

Effective Date: May 8, 2026

By accessing or using Golden Ark Systems services ("Services"), you agree to these Terms.

1. Services Provided

Golden Ark Systems offers freight dispatching services, dispatcher training, and educational content (the "Mindset Academy"). Services are provided on a month-to-month or pay-as-you-go basis unless otherwise specified.

2. Eligibility

You must be at least 18 years old and legally authorized to enter contracts. For dispatching services, you must hold a valid MC operating authority and current insurance.

3. Dispatching Services

Commission rates are agreed upon at the start of service (typically 5–7% of gross revenue)
Services may be terminated by either party with written notice
We do not guarantee specific RPM, load volume, or income outcomes
Carriers remain responsible for all DOT/FMCSA compliance, equipment maintenance, and driver behavior

4. Mindset Academy Subscriptions

Premium ($97/mo) and VIP ($497/mo) tiers billed monthly via Stripe
Cancel anytime — access continues through end of current billing period
No refunds for partial months
Free tier requires no payment and may be discontinued at our discretion

5. Acceptable Use

You agree NOT to:

Resell or redistribute Academy content without written permission
Misrepresent yourself or your company
Use the Services for unlawful freight, illegal substances, or sanctioned destinations
Attempt to reverse-engineer or scrape proprietary tools (Dispatch IQ, Load AI, etc.)

6. Intellectual Property

All content on this platform — including the GAS Wealth System framework, Dispatcher OS, Mindset Library frameworks, and design system — is the intellectual property of Golden Ark Systems. Limited license is granted for personal use within the scope of the service.

7. Disclaimers

The Services are provided "as is." We make no warranties, expressed or implied, regarding fitness for a particular purpose, uninterrupted service, or specific business outcomes.

8. Limitation of Liability

To the maximum extent permitted by law, Golden Ark Systems shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost data. Total liability for any claim shall not exceed the amount paid by you for Services in the 6 months preceding the claim.

9. Indemnification

You agree to indemnify Golden Ark Systems against any claims arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

10. Termination

We may terminate or suspend your access at any time for violation of these Terms or for any reason with reasonable notice.

11. Governing Law

These Terms are governed by the laws of the United States and the state of registration of Golden Ark Systems. Disputes shall be resolved through binding arbitration.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance.
